"Affiliate" - means, with respect to any Person, a Person:  (i) which, directly or indirectly, through one or more intermediaries, controls or is controlled by, or is under common control with, the Person specified; (ii) which beneficially owns or holds five percent (5%) or more of any class of voting stock or other equity interests of the Person specified; (iii) five percent (5%) or more of the voting stock or other equity interest of which is owned or held by the Person specified; or, (iv) who is a director or officer (or the equivalent) of the Person specified or any entity specified in parts (i), (ii), or (iii) of this definition.  For all purposes hereof, the term “control” means the possession, directly or indirectly, of the power to direct or to cause the direction of the management and policies of any Person, or the power to veto major policy decisions of any Person, whether through the ownership of voting securities, by contract, or otherwise.

"Affiliate" - in relation to any Person means any other Person that directly, or indirectly through one or more intermediaries, controls, is controlled by, or is under common control with, such first Person.  For purposes of the definition of affiliate, “control” has the meaning specified [in the Corporations Act of 1000], as amended, and the rules and regulations promulgated thereunder, as in effect on the date of this Agreement.

"Affiliate" - means, with respect to any Person, any other Person that controls, is controlled by, or is under common control with such first Person, where “control” means the direct or indirect (a) ownership of more than 50% of the shareholding entitled to vote in the election of directors, or if there is no such shareholding, more than 50% of the equity share capital, membership interests or partnership interests therein, (b) power to direct or cause the direction of the management and policies of such Person (whether by contract or otherwise), or (c) right to receive 50% or more of the dividends or other distribution of profits in respect of such Person
