“Claim”  means any claim, action, arbitration, proceeding, review, audit, hearing, investigation, litigation, or suit (whether civil, criminal, administrative, investigative, informal or threatened)

"Thid Party Claim" - means a Claim under Clause [●] by any Person, other than the Parties, against any of the Parties   

"Claim" - means any existing, anticipated or threatened difference, controversy, case, suit, action, proceeding, dispute, demand, cause of action, complaint, defense, affirmative defense, counterclaim, impleader, interpleader, third party or derivative claim, class action, investigation, petition for legal, equitable or declarative relief, inquiry, whether formal or informal, or other claim, regardless of: (a) where or in what jurisdiction(s) such claim may have arisen or may arise or may have been or may be adjudicated, (b) whether such claim arises at law, equity or otherwise, under federal, state or local law or the law of any other jurisdiction, including that of the [insert country]; or (c) whether such claim is disclosed or undisclosed, known or unknown to any or all holders of any interest in such claim
