"Defend"- means taking such steps and incurring such fees, costs and expenses as may be necessary to defend any Claim whether pre-litigation or in connection with any proceedings in any court or other tribunal (including any alternative or non-binding dispute resolution) and shall include the obligation to pay reasonable attorneys' fees, court costs, expert fees and other reasonable costs incurred by [Indemnifying Party, or the Party having the obligation to defend] or the [Indemnitee or any Person being defended] as a result of defending against a Claim as required by the Agreement or, at the election and cost of the obligor, the obligation to select and engage competent lawyers and experts to defend against a Claim as required by the Agreement, and "Defense" shall be construed accordingly.
